“FREE” TOOL RENTAL AGREEMENT This agreement is being entered into between WEB DIRECT BRANDS, INC. referred to as "Lessor" or "WDB", and the Lessee (you) upon completion of this sale, for the rental of the pool fence installation Equipment. WHEREAS, Lessee desires to “rent” from WDB, Equipment, referred to as "WDB Equipment", upon the terms and conditions set forth by The Lease is agreed as follows: 1. RENTAL TERM & RATES Equipment Rented, Term, Lessor hereby rents to Lessee, the item WDB Equipment. Lessee agrees to pay Lessor the daily or weekly rates reflected on the current WDB Schedule of Rental Rates, set forth on the WDB website "www.lifefence.com" or ”www.diypoolfence.com”. Rates are hereby acknowledged by Lessee, for each week until said equipment is “returned” indicated by the day it is shipped back to the Lessor's premises, commencing on the first Monday following the first full weekend it is in the Lessee’s possession date shown received by the Lessee indicated by Lessor chosen shipping or freight company and running to the date of return to the shipper, including Saturdays, Sundays and holidays. Lessee agrees to return said equipment on the date indicated as the end of rental term. Rental charges do not apply towards purchase of a WDB Equipment. 2. PAYMENT Lessee agrees to pay the total balance of the initial rental period and shipping cost both to and from the Lessee's specified shipping address prior (as indicated by charges in the Lesee’s shopping cart at checkout) to WDB shipping the WDB Equipment to Lessee. In the event of Lessee retaining said equipment past the intended end date of rental agreement paid for by Lessee, Lessee will be immediately charged for an additional rental period. At the end of the additional rental period, if Lessee still retains said equipment an additional rental period will be charged and so on until the return of the equipment. Rental charges do not apply towards purchase of a WDB Equipment. 3. LESSEE'S RESPONSIBILITY and LIABILITIES. a. Delivery, Safekeeping and Return. Lessee assumes full responsibility for the safekeeping of said equipment and keeping said equipment in a good state of condition and repair, free from damage of any kind, and having said equipment safely packaged and ready for pick up by shipping company designated by Lessor no later than the last day of the rental period set forth in this Rental Agreement. All costs of delivery to and from Lessor and Lessee and Lessee to Lessor shall be born by Lessee unluss it is indicated paid in the lessee’s shopping cart upon checkout and will be stated by Lessor and paid for by Lessee prior to of rental. A violation of the rental agreement on the part of the Lessee may result in additional shipping charges determined by Lessor of which will become the responsibility of the Lessee. b. Inspection by Lessee. Lessee will inspect said equipment rented within 6 hours of receipt time reported by shipping or freight company of said equipment and report any damage to the WDB Equipment as a result of shipping to WDB by telephone or e-mail. If said equipment is found to be free of defects or damage, Lessee agrees to maintain the same good condition during the rental period and until such equipment is returned to Lessor. c. Destroyed Lost or Stolen Equipment. In the event that the equipment rented is destroyed, lost or stolen while in the actual or constructive possession of Lessee except under circumstances over which Lessee has no control and where Lessee has exercised care, Lessee shall immediately pay to Lessor the replacement value of such equipment as determined by Lessor or actual cost of replacement. During the period such equipment is not available for use by Lessee/Lessor because of being destroyed, lost or stolen, the rental rate accrued on such equipment shall be paid by Lessee to Lessor until such equipment is paid for. d. Damaged Equipment. In the event the said equipment rented is damaged while in actual or constructive possession of Lessor, it is agreed that Lessee shall immediately return said equipment to Lessor for repair or restoration to its original, serviceable condition. Lessee shall pay all costs of such repairs or restoration, and pay to Lessor the rental rate on such equipment during the entire time such equipment is being repaired or restored. e. Normal Wear and Tear. In the event any item of equipment hereby rented should break or become unserviceable during the rental period, Lessor shall be the sole arbitrator of whether the break or defect resulted from normal wear and tear, and if found to be the case, then the rental rate shall not apply after the date said equipment is returned to Lessor's shipper. If, on the other hand, Lessor determines that the break or defect resulted from misuse or other forces, the equipment shall be immediately returned to Lessor, Lessee shall pay the costs of repairs, and the rental rate shall continue until repairs are completed. f. Liability. Lessee agrees to assume full responsibility and liability for the safekeeping of the WDB Equipment rented under the terms of this Agreement, from the time the equipment arrives at Lessee's designated delivery address until it arrives back at Lessor's premises at end of rental period. Said equipment is used at Lessee's sole risk and Lessee will hold harmless and indemnify Lessor against any and all claims or liability to Lessee and/or third persons arising out of the use of said equipment. 4. VALUE OF RENTAL EQUIPMENT. Lessee agrees that the value of the said equipment in the event of any loss or damage during the rental period shall be the replacement cost of said equipment or cost of repair or restoration not to exceed the replacement cost of said equipment, plus applicable sales taxes, and plus applicable freight charges. 5. MISCELLANEOUS In the event Lessor is required to file any legal action to enforce any provision of this Agreement, then Lessee agrees to pay all court costs and attorneys fees if collected by or through an attorney at law. This Agreement may not be amended or modified except in writing, signed by both parties. Please read the above rental agreement thoroughly.
